Terms of Use and Public Offer

These Terms of Use and Public Offer govern access to and use of Aiva-Riva. Worldwide Consumer Guide, including country, city, category and business pages, account and listing-management features, paid listing plans, communications, and related services.

The Service is operated as Aiva-Riva. Worldwide Consumer Guide. The final legal name, registration number, tax status, VAT status, registered address, and other Service Provider details must be completed before live paid launch and will be used for invoices, legal notices, and payment-provider records. By accessing or using the Service, submitting or claiming a business page, editing listing information, creating an account, or purchasing a paid plan, you agree to the provisions of these Terms that apply to such use.

A paid service agreement is concluded when a Customer selects a paid plan, is shown the applicable price and key service information, confirms acceptance of these Terms and any related checkout policies, and successfully completes payment, subject to payment verification and moderation.

Definitions and Authority

Definitions

“User” means any person who visits or uses the Service. “Business” means a company, sole proprietor, professional, organization, venue, establishment, service provider, or other entity represented in the directory. “Business Representative” means a person authorized to act for or provide information on behalf of a Business. “Customer” means a person or entity that purchases a paid plan. “Listing” or “Business Page” means a directory page containing information about a Business.

Authority

If you submit, claim, edit, or purchase a Listing on behalf of a Business, you represent that you are authorized to act for that Business, that the information you provide is accurate, current, lawful, and not misleading, and that you have the rights and permissions necessary to provide all submitted content.

Verification

Aiva-Riva may request reasonable evidence of authority or ownership, including verification through a business-domain email address, official website, public registry, telephone confirmation, business documents, or another suitable method. Aiva-Riva may delay, restrict, reject, reverse, or suspend a claim or requested edit until verification is completed.

Business Listings

Listings may contain names, addresses, geographic coordinates, telephone numbers, websites, email addresses, descriptions, categories, photographs, logos, social links, opening hours, services, amenities, pricing indicators, and other relevant information.

A Listing is provided as directory information. Unless expressly stated otherwise, the existence of a Listing does not mean that the Business has entered into a contract with Aiva-Riva, approved or endorsed Aiva-Riva, or that Aiva-Riva has certified, licensed, inspected, endorsed, or guaranteed the Business or its products or services.

Claiming or correcting an unclaimed Listing does not by itself require the purchase of a paid plan. A Business Representative may contact Aiva-Riva to claim, correct, update, or request removal of a Listing, subject to reasonable verification, legal requirements, public-interest considerations, fraud prevention, and moderation.

Aiva-Riva may retain limited records relating to removed, merged, disputed, or fraudulent Listings where reasonably necessary for legal compliance, security, abuse prevention, accounting, or dispute resolution.

Public Sources and Moderation

Imported Data

Aiva-Riva may create, import, enrich, or pre-fill Listings using publicly available sources, open datasets, map data, Business websites, public directories, public social profiles, owner-submitted information, licensed datasets, or internal review. Public-source information may be incomplete, outdated, inaccurate, duplicated, or associated with the wrong Business.

Corrections

If you identify inaccurate, outdated, unlawful, or improperly attributed information, contact us through the Contact Us form or at info@aiva-riva.com. Aiva-Riva may require reasonable evidence before making material changes or removing information.

Moderation

Aiva-Riva may review, edit, reformat, classify, translate, hide, reject, archive, merge, separate, suspend, or remove Listings or content where reasonably necessary, including for inaccurate information, duplication, impersonation, unsafe links, unlawful content, infringement, spam, prohibited goods or services, ranking manipulation, closure, relocation, legal requirements, payment-provider rules, or catalog quality.

Paid Plans

Basic Permanent Listing. USD 49 as a one-time payment, unless another price is clearly displayed and accepted at checkout. The Basic Permanent Listing includes continued publication of the applicable Business Page as a paid Basic Listing for the operational lifetime of the Aiva-Riva directory, subject to these Terms, moderation, accuracy requirements, legal and payment-provider requirements, continued operation of the Service, business eligibility, and removal requested by an authorized Business Representative.

“Permanent” does not mean that the website, the directory, the Service Provider, or any particular feature will operate indefinitely. It means that the Basic Listing is not limited to a fixed subscription period and does not require an annual Basic Listing renewal fee while the Aiva-Riva directory continues to operate.

Premium Annual Listing. USD 99 for twelve months, unless another price is clearly displayed and accepted at checkout. The Premium Annual Listing includes the Basic Permanent Listing plus twelve months of Premium Visibility beginning on the date of Premium activation.

Premium Visibility may include priority placement above non-premium Listings in relevant Aiva-Riva city and category results, a highlighted or enhanced result card, a visible Premium badge, and other Premium features clearly described on the pricing or checkout page.

Premium Listings are paid promotional placements. A Premium badge or higher position does not constitute certification, verification of quality, professional accreditation, or endorsement by Aiva-Riva. Premium Visibility does not guarantee sales, leads, calls, messages, traffic, impressions, conversion rates, search-engine rankings, third-party rankings, exclusive placement, or a fixed numerical position among other Premium Listings.

Where multiple Premium Listings appear in the same category or location, their relative order may be determined by relevance, rotation, completeness, location, quality signals, recency, technical factors, or other reasonable directory criteria. Unless automatic renewal is expressly disclosed and separately accepted during checkout, Premium Visibility does not renew automatically.

Orders, Payments, and Refunds

Orders

An order is a request to purchase a paid plan. Submission of an order does not require Aiva-Riva to accept or activate a Listing that violates these Terms. Paid Listings are normally reviewed and activated within five (5) business days after successful payment and receipt of all reasonably required information.

Payments

Prices are stated in United States dollars unless another currency is expressly displayed. Payments may be processed by Fondy or another third-party payment provider. The payment provider’s own terms, privacy notices, anti-fraud procedures, sanctions rules, and payment-processing requirements may also apply. Aiva-Riva does not normally receive or store the Customer’s complete payment-card number.

Refunds

Refund requests must be sent to info@aiva-riva.com and should include the Customer’s name, Business name, payment date, payment reference where available, and reason for the request. A full refund will normally be issued if Aiva-Riva rejects a paid Listing before activation, cannot provide the purchased service, verifies a duplicate charge, or if applicable law requires a refund.

Chargebacks and Payment Disputes

Before initiating a chargeback or payment dispute, the Customer is encouraged to contact Aiva-Riva so that the matter can be reviewed and, where appropriate, corrected or refunded.

If a payment is reversed, charged back, or determined to be unauthorized, Premium Visibility may be suspended immediately, the paid status of the Listing may be removed, the Listing may revert to an unpaid or unclaimed status, and Aiva-Riva may restrict further purchases associated with the transaction or account.

Nothing in these Terms prevents a Customer from exercising any lawful right to dispute a genuinely unauthorized or defective transaction.

Content and Intellectual Property

Customer Content

You retain ownership of content you submit, to the extent you own it. By submitting content, you grant Aiva-Riva a non-exclusive, worldwide, royalty-free license, sublicensable to technical service providers and transferable in connection with a sale or reorganization of the Service, to host, store, reproduce, display, publish, format, resize, crop, adapt, translate, index, cache, distribute, and technically process that content in connection with Aiva-Riva.

Aiva-Riva Property

The Service, including its software, design, layout, directory structure, branding, original text, databases created by Aiva-Riva, graphics, interfaces, and selection or arrangement of content, is owned by or licensed to Aiva-Riva and is protected by applicable intellectual-property laws.

Complaints

If you believe that content on Aiva-Riva infringes your copyright, trademark, or other intellectual-property right, send a notice to info@aiva-riva.com with your contact information, the protected work or mark, the exact Aiva-Riva URL, an explanation of the alleged infringement, and evidence of ownership or authority where reasonably available.

Email, Acceptable Use, and Restricted Businesses

Email

Aiva-Riva may send transactional, account, security, verification, listing, moderation, billing, payment, support, legal, service-performance, outreach, reminder, and promotional communications to the email address associated with a Business, Listing, account, or transaction. Promotional emails will include an unsubscribe mechanism where required by law.

Acceptable Use

You may not submit false information, impersonate another person or Business, claim or edit a Listing without authority, upload malware or unsafe links, infringe third-party rights, abuse forms, attempt unauthorized access, circumvent rate limits, scrape the Service at scale without permission, manipulate rankings or analytics, create fake engagement, or use the Service for fraud, sanctions evasion, or unlawful activity.

Restricted Businesses

Aiva-Riva may refuse, restrict, or remove Listings involving unlawful, sanctioned, payment-provider-restricted, unsafe, deceptive, or high-risk goods, services, activities, persons, or territories. This may include illegal weapons, illegal drugs, trafficking, fraudulent financial services, counterfeit goods, malware, illegal gambling, hate or terrorist organizations, sanctioned persons or territories, unlawful adult services, and businesses lacking legally required licenses.

Cookies, Analytics, and Privacy

Essential Cookies

Aiva-Riva uses essential cookies and similar browser storage for login sessions, security, form protection, city selection, service preferences, fraud prevention, and remembering privacy choices. Essential cookies are necessary for relevant parts of the Service to operate correctly.

Optional Analytics

Optional analytics cookies help Aiva-Riva understand aggregate site usage and improve directory pages, search, and listing flows. Google Analytics only loads after you choose to allow analytics where consent is required. You can change applicable cookie choices through Cookie settings in the footer.

Privacy Policy

Aiva-Riva publishes a separate Privacy Policy and Cookie Policy. Those pages explain personal-data handling, essential cookies, optional analytics consent, and cookie settings in more detail. The Terms, Privacy Policy, and Cookie Policy should be read together.

Third Parties, Ranking, and Availability

Listings may contain links to third-party websites, email addresses, social profiles, telephone numbers, booking services, maps, payment systems, or other external resources. Aiva-Riva does not control and is not responsible for third-party content, security, availability, privacy practices, products, services, pricing, promises, or conduct.

Search and category results may be influenced by geographic relevance, category match, completeness, verification status, freshness, user context, quality signals, technical factors, Premium status, or other reasonable criteria. Paid promotional status will be identified through a Premium, Promoted, Sponsored, or equivalent label where reasonably appropriate.

The Service is provided on an “as available” basis. Aiva-Riva may update, maintain, redesign, suspend, restrict, or discontinue parts of the Service for security, technical, legal, commercial, operational, or product-development reasons. Aiva-Riva does not guarantee uninterrupted, error-free, or permanently available operation.

Accuracy, Disclaimers, and Liability

Information Accuracy

Directory data may come from Business Representatives, public sources, imported datasets, licensed data, automated processing, User submissions, or internal review. Aiva-Riva works to keep information useful but does not guarantee that every Listing is complete, current, accurate, authorized, or error-free. Users should verify critical information directly with the Business.

Disclaimers

To the maximum extent permitted by law, the Service is provided without warranties of uninterrupted availability, fitness for a particular purpose, merchantability, non-infringement, accuracy, or specific commercial results. Aiva-Riva does not warrant that any paid plan will generate customers or revenue.

Liability

To the maximum extent permitted by law, Aiva-Riva is not liable for indirect, incidental, special, punitive, exemplary, lost-profit, lost-revenue, reputational, data-loss, business-interruption, opportunity-loss, or consequential damages arising from the Service, Listing information, third-party websites, Business interactions, unauthorized access caused by third parties, service interruption, or moderation in accordance with these Terms.

Indemnity, Suspension, and Force Majeure

To the extent permitted by law, a Business Representative or Customer agrees to indemnify and hold harmless Aiva-Riva, its owners, employees, contractors, and service providers from third-party claims, losses, liabilities, and reasonable costs arising from submitted or authorized content, lack of authority, infringement, unlawful or misleading Business activity, breach of these Terms, or misuse of the Service.

Aiva-Riva may suspend or terminate access, account functionality, claims, edits, Premium Visibility, or Listings where reasonably necessary due to breach, fraud, payment reversal, chargeback, security risk, lack of authority, unlawful activity, sanctions or payment-provider requirements, repeated abuse, or legal obligations.

Aiva-Riva is not liable for delay or failure caused by circumstances beyond reasonable control, including war, government action, sanctions, cyberattack, natural disaster, power failure, internet outage, hosting failure, labor disruption, payment-network failure, or failure of essential third-party infrastructure.

Governing Law, Changes, and Contact

Governing Law

These Terms and paid service agreements are governed by the laws of Ukraine, unless mandatory law requires otherwise. Nothing in these Terms deprives a consumer of mandatory protections that apply under the laws of the consumer’s country of habitual residence. Unless mandatory law provides otherwise, disputes are subject to the competent courts of Ukraine.

Complaints and Changes

Before commencing formal proceedings, the parties should attempt in good faith to resolve the dispute by contacting info@aiva-riva.com. Aiva-Riva will use reasonable efforts to review a properly submitted complaint within fifteen (15) business days. Aiva-Riva may update these Terms to reflect legal, technical, security, operational, payment, or product changes.

Language and Contact

The controlling version of these Terms is English. If translated versions differ, the English version prevails, except where mandatory law requires otherwise.
